The Fergana Oil Refinery Plant (FNPZ) is one of the leading enterprises for the production of fuels and lubricants in the Central Asian region, which operates 35 technological units for the production of almost the entire range of oil products existing in oil refining.

Currently, work has begun on the reconstruction of the existing and construction of new production facilities of the FNPZ, for which it is planned to spend about US $ 300 million.

Our team provides ongoing legal support for the FNPZ activities by performing the following tasks:

• Preparation, verification, negotiation and execution of legal actions in the framework of the implementation of the trust agreement;

• Preparation and approval of documents related to the reconstruction of existing and construction of new production facilities at FNPZ;

• Protecting the interests of FNPZ in relations with third parties, including government agencies;

• Current legal support of FNPZ operating activities, including corporate governance issues and contractual work.

In accordance with the Program for the Development of the Chemical Industry for 2019-2030, approved by the decree of the President of the Republic of Uzbekistan, "On measures to further reform and increase the investment attractiveness of the chemical industry", an investment project "Construction of a chemical complex for the production of complex mineral fertilizers in the Samarkand region using the facilities of Samarkandkimyo JSC” had been started.

Prior to the acquisition of shares by a foreign investor, Legal Aspect specialists carried out due diligence of the chemical complex, based on the results of which the foreign investor made a decision to take investment and social obligations for:

• attracting at least 200 million US dollars through direct investments, as well as loans from foreign and local financial institutions, without providing a guarantee from the Government of the Republic of Uzbekistan;
• construction using the facilities of Samarkandkimyo JSC of a modern environmentally friendly chemical complex for the production of complex mineral fertilizers, ensuring the commissioning of the facility not later than July 1, 2023;
• creation of at least 150 jobs after the commissioning of the facility;
• maintaining the profile of the company.

In order to fulfill the above obligations of a foreign investor, Legal Aspect on an ongoing basis provides the following services:

• Consulting a foreign investor on specific legal issues;

• Protection of the interests of a foreign investor and Samarkandkimyo JSC in relations with third parties, including government bodies;

• Legal support for the preparation of draft agreements, including the development of a share purchase agreement, EPC contracts, an agreement for the development of a chemical complex design, an agreement for design adaptation, etc .;

• Preparation of draft regulations governing individual issues of project implementation;

• Pre-trial settlement of disputes, protection of the interests of a foreign investor and Samarkandkimyo JSC in courts and in the Bureau of Compulsory Enforcement of Judgments.
